One year ago, I opened the doors to Agnew Law with a tiny dream—and, if I’m honest, a healthy dose of imposter syndrome. Starting a law firm from scratch felt like starting down a complicated path without knowing where it would lead or whether there would be light at the end.

But what a journey it has been.

I’m amazed by the trust so many have placed in me, the opportunities we’ve been afforded to help our neighbors and friends, and the growth we’ve experienced in just twelve short months. I never imagined that year one would look like this—or that I’ve had this in me.

There are far too many people to thank by name—but if you’ve referred a client, sent a word of encouragement, collaborated on a project, or simply believed in this vision, you’ve made a difference. Thank you.

Compliance Confusion Continues for the Corporate Transparency Act

Whether you are required to file a Corporate Transparency Act report has changed week-to-week throughout December—leaving businesses confused and questioning their compliance obligations. There are piles of law firm articles discussing the intricacies of this drama, but I want to make this simple and easy for business. AT THE MOMENT, THE CTA IS NOT BEING ENFORCED, AND SMALL BUSINESSES HAVE NO REPORT FILING OBLIGATIONS OR DEADLINES. Here is what has happened:

1) Under the CTA, small businesses were required to submit a BOIR Report by December 31, 2024.
2) A Texas district court issued an injunction stopping the requirement to comply with the CTA by December 31, 2024.
3) The Fifth Circuit granted an appeal on the court’s decision but declined to uphold the injunction through the appeal.
4) This triggered the Federal Agency enforcing the CTA to extend the deadline to comply to January 13, 2025.
5) The Fifth Circuit reversed course and granted the CTA injunction while the appeal is being heard—stopping the requirement to comply with the CTA by January 13, 2025.

The Fifth Circuit will hear arguments on the CTA on March 25, 2025. Within a few months, it will decide whether the CTA is enforceable and the corresponding enforcement dates (if applicable). After the Fifth Circuit’s decision, this matter will likely be appealed to the US Supreme Court.

This is a polite reminder for Kansas-registered business formed in odd years that your Kansas Secretary of State Information Report was due in April. If it has not been filed yet, you have until Sunday to complete your filing. Otherwise, you will forfeit your business on Monday and the Kansas SOS will charge your business a fine to be reinstated.

You can file your information report or determine if one is required here: https://sos.ks.gov/businesses/information-reports.html
