MEMORANDUM OF ASSOCIATION
OF
JAHANGIR AUTTALIKA BUILDERS LTD. The registered office of the company shall be situated in Bangladesh. The object for which the Company is established are all or any of the following and all the objects will be implemented after obtaining necessary permission from the Government/Concerned Authority/Competent Authority before commencement of business.
1. To carry on the business of Housing, Land Development, Properties, Builders, Construction of Multi-Storied Building, Apartment Project and housing facilities by purchasing land or disposing/sale and by way of joint venture with the land owner or financiers. To carry on the business of Real estate, Housing and Apartment and to do and carry on with the business of buyer, seller of flats, apartment, buildings rooms, huts and to undertake construction of Super market, Shopping center, Shopping mall, Hotel Motel, Picnic Spot, Hospital, Community centers. And to arrange for sale or let out of those to general public or to hold it for their management. To carry on the business of all kinds of Real Estate related work.
2. To carry on the business of Real estate, Housing and Apartment and to do and carry on with the business of buyer, seller of flats, apartment, buildings rooms, huts and to undertake construction of Super market, Shopping center, Shopping mall, Community centers. To purchase, acquire, take on lease or in exchange or in any other lawful manner, any area, land, buildings, structures and to turn the same into account, develop the same and dispose of or maintain the same and to build townships, gardens, towns, markets, housing estates, Export Import, residential houses, bungalows or other buildings or conveniences thereon and to equip the same or any part there of with all or any amenities or conveniences, drainage facility, electricity, water supply, sewerage installations and to deal with the same in any manner.
3. To build, take on lease, purchase acquire in any manner whatsoever any houses, buildings, apartments, flats, rooms, huts or other accommodation for residential, dwelling, business and all other purposes connected therewith and to let or dispose of the same on installment basis, rent, purchase basis or by outright sale, whether by private treaty or by auction or in any other mode of disposition all or any integral part thereof. To carry on business of Mechanical Electrical Engineers, Structural Engineers, Metallurgical Engineers, Sanitary and Water Engineers, Brass foundries, Boiler makers, Smith and Tool makers and to buy and sell, manufacture, repair, alter, convert, let out on hire and deal in machinery implements, Rolling stock and Hardware and all kinds of Civil Construction.
4. To carry on the business of construction, land building, structure for sale purchase and allotment. To develop and run to account any land acquired by the Company or in which the Company is interested and particular by laying out and preparing the same for building purpose, construction, altering and pulling down, decorating, maintaining, furnishing and fitting up and improving buildings and by planting, paving, drawing, forming, cultivation, letting on building, lease or building agreement and by advancing money to and entering into contacts arrangements of all kinds and builders, tenants and others. Air conditioning (HVAC) and light supply works, telecommunication works, stores and other like works and to contribute or otherwise assist or take part in the construction, maintenance development, working and management thereof.
5. To provide lands, buildings, apartments, houses, flats, rooms, huts, or other accommodation constructed or to be constructed by the Company for members thereof and others on their behalf construct such buildings apartments, houses, flats, rooms, huts and other accommodation on terms and conditions that may be agreed upon by and between the parties.
6. To carry on all or any of following business namely of suppliers, builders, contractors, decorators, structural of architectural engineers, designers and dealers suppliers in stone, lime, bricks, steel, cements, timber, hardware and other building requisites. To purchase, take of lease or in exchange, hire or otherwise acquire any immovable property and any rights or privileges, which the company may think necessary or convenient for the purpose of its business and to construct, maintain and alter any building or works necessary or convenient for the purposes of the company and to improve, manage, development, grant rights or privileges in respect of or otherwise deal with all or any part of the property and rights of the company.
7. To import, all kinds of Machineries, lift, chemical, sanitary fitting chamical export, buy, sell buyer, exchange, manufacture and deal in machineries, implements, rolling stock, building materials, fittings of all kinds hardwires cars whether new or second hand and spare parts and accessories, all kinds of minerals and construction equipment & materials. To manufacture implements, tools and machineries of all kinds wire nets, pipes, bricks, tiles, china terra-cotta, ceramic wares, models of all kinds and other engineering products. To carry on the business of general contractors and as Civil, Mechanical, Electrical and General Engineers and the work of a public or semi public nature or of public utility to of any Government or semi Govt. department or corporation etc. and act as consulting engineers, architects, designers, estimators, planners and construction's contractor.
